This Affiliate policies is entered into by and between Hekma Center LLC, a corporation with its principal place of business at 24A Trolley Square #2131, Wilmington, DE, 19806, USA, and you (The ambassador).
The term “ambassador” on the site is synonymous with “affiliate” person.
Entering your email, name, and website or social media link on the registration page is considered an acknowledgment by you (the affiliate) that you agree to the terms below. These terms are binding from the moment of requesting to join and register for the ambassador/affiliate program.
By confirming policies on this Agreement and registering to the Ambassador program, the Affiliate agrees to the following terms and conditions:
1.Introduction
– This Agreement sets forth the terms and conditions under which Affiliate will promote Hekma Center’s products and earn commissions on sales generated through their promotional activities.
-Parties Involved: Hekma Center and the Affiliate.
2.Enrollment
-Eligibility Criteria: Affiliate must be at least 18 years old and have a valid website or social media presence.
– Application Process: Affiliate must complete and submit the online application form available on Hekma Center’s website.
-Acceptance or Rejection: Hekma Center reserves the right to accept or reject any application at its sole discretion.
3.Affiliate Responsibilities
-Marketing Guidelines: Affiliate agrees to promote Hekma Center products in a positive and ethical manner. This includes:
– Using only the photos and marketing materials provided by Hekma Center, or those displayed on the website or social media accounts of Hekma Center.
-or you can create a video of yourself featuring Hekma Center products and submit it to us for approval. Once approved, you may proceed to publish the video.
– Providing customers with information consistent with what Hekma Center provides.
– Prohibited Activities: Affiliate shall not engage in any activities that may harm the reputation of Hekma Center, including but not limited to:
– Spamming
– False advertising
– Misleading promotions
– Indecent or explicit imagery, or the use of offensive language
– Use of Brand Assets: Affiliates must use Hekma Center’s logos, trademarks, and other brand assets in accordance with Hekma Center’s brand guidelines. You can view these guidelines at the following link: https://www.hekmac.com/en/terms-and-conditions/
4.Commission Structure
– Commission Rates: Affiliate will earn a commission of 7% on the net sales generated through their unique affiliate link.
– Payment Terms and Schedule: Commissions will be paid monthly, provided that the Affiliate has accumulated a minimum commission balance of $200 If the balance is less than $200, it will be carried over to the next month.
– Performance Metrics: Affiliate’s performance will be tracked through a unique affiliate link provided by Hekma Center.
-The order return rate / chargebacks does not exceed 1%. (In the event that the money is returned by the customer who purchased through your affiliate link, your percentage will also be cancelled).
-The commission will only be calculated based on the net sales price, without including any shipping or delivery fees.
5.Tracking and Reporting
– Sales Tracking: Hekma Center will track sales generated through Affiliate’s unique link using tracking cookies. Cookies are valid for 30 days.
– Reporting Requirements: Affiliate will have access to an affiliate dashboard to view their sales and commission reports.
– Dashboard Access: Hekma Center will provide Affiliate with login credentials to access the affiliate dashboard.
6.Term and Termination
– Duration:This Agreement will commence on the date of acceptance and continue until terminated by either party.
– Termination Conditions: Either party may terminate this Agreement at any time with or without cause by providing written notice to the other party.
– Effects of Termination: Upon termination, Affiliate will no longer be entitled to commissions on sales made after the termination date. Final commission payments will be made within 30 days of termination.
7.Confidentiality and Data Protection
– Sensitive Information: Affiliate agrees to keep confidential all sensitive information received from Hekma Center, including but not limited to sales data, customer information, and marketing strategies.
– “Data Protection Compliance: Affiliate agrees to comply with all applicable data protection laws, including GDPR, CCPA, GLBA, DOPPA, and FTC, when handling customer data.
-The terms of use, confidentiality, and data protection remain in effect even after the termination of the agreement. The affiliate commits not to speak negatively about or cause harm to Hekma Center after the agreement ends. If the affiliate terminates the agreement and breaches confidentiality or causes harm to Hekma Center, they will face legal consequences for violating the confidentiality and joint work agreement.
8.Intellectual Property
Use of Trademarks and Copyrighted Material: Affiliate is granted a non-exclusive, non-transferable license to use Hekma Center’s trademarks, logos, and copyrighted material solely for the purpose of promoting Hekma Center products. The Affiliate must seek prior approval from Hekma Center before including any logos or trademarks on any video or promotional material they create. Use of photos with trademarks and logos is only permitted on the website or social media accounts specified in the agreement and not on any other platforms. If the Affiliate opens a new channel or website that they wish to use for promotion, they must inform Hekma Center. Hekma Center will not provide logos for general use; they must be used in a pre-approved manner, such as in highlights or on the specified site, and should not be placed on promotional materials without prior consent.
– Restrictions on Use: Affiliate shall not use Hekma Center’s intellectual property for any purpose other than promoting Hekma Center products.
9. Dispute Resolution
– Governing Law: This Agreement shall be governed by and construed in accordance with the domestic laws of the USA without giving effect to any choice of law or conflict of law.
– Arbitration: Any controversy, claim, or dispute arising out of or in any way related to this Agreement, including but not limited to claims based on contract, tort, negligence, statutory, or regulatory provisions, shall be resolved through binding arbitration in accordance with the rules of the Federal Arbitration Act (FAA). The arbitration will be conducted by a single neutral arbitrator agreed to by the Parties.
– Class Action Waiver:The Parties agree that any arbitration may only be brought in their individual capacities, not as a class, collective, or other representative action.
10.Miscellaneous
– Amendments:Hekma Center reserves the right to amend this Agreement at any time. Affiliate will be notified of any changes, and continued participation in the affiliate program constitutes acceptance of the amended terms.
– Assignment of Rights: Affiliate may not assign or transfer their rights or obligations under this Agreement without the prior written consent of Hekma Center.
– Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter hereof.
11.Additional Terms and Conditions
– Program Overview: Hekma Center’s affiliate program is designed for e-marketers, website owners, social media influencers, and individual entrepreneurs to earn commissions by creating links and referring users to hekmac.com. Affiliates can market over 100 products and bundles or the entire website, with several marketing options available, including personalized coupons (requested from our center with varying percentages decided by Hekma Center, subject to an expiry date and usage limits, and the number of times they can be used by customer).Affiliates promoting on social media platforms can include their affiliate link in their promotions.
– Marketing Tools: Affiliates can use banners, product links, marketing videos, and email/WhatsApp messages to promote Hekma Center products.
– Referral Process: To earn a referral fee, the customer must click on the affiliate link, visit hekmac.com, add products to the shopping cart, and complete the purchase process within 30 days from the initial click-through.
By clicking on register, the affiliate acknowledge that they have read and understood this agreement and agree to be bound by its terms.
